TERMS AND CONDITIONS OF SERVICE – last updated 31 OCT 25

Client Responsibilities Policy

Both parties agree to operate in a spirit of good faith, transparency, and cooperation to ensure smooth production and successful project outcomes.

 

  • Information & Access: 

Clients are responsible for providing accurate and complete information, as well as timely access to locations, personnel, and resources necessary for Maverick Social to perform its work. This includes but is not limited to brand guidelines, schedules, permissions, model releases, and logistical details relevant to the production.

 

  • Feedback & Approvals:

Clients must provide clear and consolidated feedback within the agreed timelines to maintain production flow.  Delayed responses, fragmented feedback, or indecision may impact delivery dates and result in additional costs or scheduling adjustments.

 

  • Representation on Set:

The client (or an authorised representative) must be available during key shoot days to approve shots, setups, and talent performances as required. In the absence of a client representative, Maverick Social’s creative and production decisions will be deemed final for the purpose of maintaining schedule and quality.

 

  • Location Access & Shoot Time:

Where Maverick Social is given less time than scheduled to capture a specific location or scene, whether due to restricted access, public interference, or being asked to vacate early, Maverick Social cannot be held responsible for any resulting lack of coverage or missed footage. Additional time or reshoots required as a result will be treated as overages and billed accordingly.

 

  • Liability for Delays:

Maverick Social will not be held responsible for delays, additional costs, or missed deliverables arising from:

  • Late client feedback or approvals
  • Unavailable personnel or contributors
  • Restricted access to required locations or materials
  • Changes to the brief made after production has commenced
  • Good Faith Collaboration:

Project Timeline Policy

  • Commencement:

Pre-production work (including shot listing, scheduling, props lists, and logistics) will only begin once Maverick Social has received either a purchase order (PO#) or a deposit payment.

 

  • Timeline Adherence:

All bids are based on the agreed production timeline.

If critical dates, approvals, or deliverables are missed or delayed by the client, this may impact the overall schedule and result in additional costs to accommodate revised timelines.

Payment Terms

  • Budget Approval:

Once the project budget is approved and signed off, neither the client nor Maverick Social may request reductions, audits, or reconciliations of that budget.

 

  • Payment Schedule:
    • 50% Deposit: Due upfront to secure shoot dates and commence pre-production.
    • 50% Balance: Due 30 days from project completion.

 

  • Overages:

Any approved overages will be included with the final invoice and are subject to a 10% fixed mark-up.

 

Revisions Policy

  • Process:

All revisions are managed through the Video Dashboard on Monday.com to ensure clear communication and version control.

 

  • Included Revisions:

Each project includes two rounds of revisions.  Any additional rounds will incur an extra charge at Maverick Social’s 115exVAT hourly rate.

 

  • Scope Changes:

Any changes to the approved brief or creative direction after initial sign-off may impact timelines and budgets, requiring a revised quote.

 

  • Feedback Deadlines:

Client feedback must be submitted within 7 business days of video delivery (excluding public holidays and agreed leave).  Delays beyond this window may incur a late revision fee.  If no feedback is received within 10 business days, the video will be considered approved and final.

Project Reopening Policy

Once a project has been officially closed, any request to reopen or make further edits will incur a €115 + VAT per hour editing fee.

 

If the project is over 12 months old, an archive retrieval fee of €445 + VAT will also apply before any work can begin.

 

We recommend reviewing all deliverables carefully during the approval stage to avoid reopening costs later.

 

Selects Policy

Clients may request watermarked selects to review during the revision process at no additional cost.

 

If high-resolution selects are requested for use beyond the agreed project scope (for example, internal archives, marketing, or future campaigns), a usage release fee of €445 + VAT per day of shooting applies.

This fee covers curation, export, and delivery via frame of the selected material.

 

Change of Scope Policy

Where any changes to scripts, briefs or plans might cause additional production costs, they will be discussed, agreed, and invoiced as overages.

 

Overages Policy

  • General:

Any additional costs incurred beyond the approved project scope will be submitted as overages and subject to a 10% fixed mark-up.  Clients are required to pre-approve 10% of the awarded project budget to cover potential overages.

 

  • Notification & Consent:

Maverick Social will notify the client as soon as reasonably possible of any expected overages.  If the client cannot be reached or does not respond in a timely manner, and the expense is necessary to maintain production continuity or quality, the overage will be deemed approved.

 

  • Billing:

All overages will be added to the final 50% project invoice, unless otherwise agreed.

 

  • Overtime:

Crew overtime will be billed at time-and-a-half, calculated pro rata.  Clients will be notified when overtime is about to begin, wherever possible.

 

  • Miscellaneous Costs:

Any additional on-set expenses, such as meals, snacks, props, or other production needs purchased during filming, will be treated as overages and billed accordingly.

 

  • Change of Scope Policy

Where any changes to scripts, briefs or plans might cause additional production costs, they will be discussed, agreed, and invoiced as overages.

 

Travel & Mileage Policy

  • Mileage:

Mileage is charged from Dublin to the client’s site and back, at current civil service rates.  This also applies to any travel between filming locations during production.  Mileage costs are added to the final invoice and may not always be estimated in advance.

 

  • Flights, Accommodation & Car Rental:

These expenses will be quoted and approved by the client prior to booking.  It is Maverick Social’s policy to overestimate projected travel costs to avoid unexpected overruns.  The client will be invoiced for the actual amount spent, with every effort made to come in under budget

 

Cancellation Policy & Refund Terms

  • Client-Initiated Cancellations
    • 10+ business days’ notice:
      • The client will be liable for all pre-production work completed and expenses incurred up to the date of cancellation.
      • Filming and editing fees will be refunded in full.
    • 5–9 business days’ notice:
      • The client will be liable for all pre-production work completed, expenses incurred, and 50% of the agreed filming day fee.
    • Less than 5 business days’ notice:
      • The client will be liable for all pre-production costs, full filming costs, and 50% of editing costs (including crew, equipment, and logistics).

 

  • 2. Force Majeure & External Factors

If a shoot is disrupted due to talent non-appearance, weather conditions, or force majeure events, the client is responsible for any reshoot costs or expenses incurred by Maverick Social and/or its production partners.

Postponement Policy

  • 10+ Business Days’ Notice

If a client postpones a confirmed shoot with more than 10 business days’ notice, the following terms apply:

  • The client will be liable for all pre-production work completed and expenses incurred up to the postponement date.
  • If the brief and pre-production materials remain unchanged, these costs may be carried over to the new shoot.
  • A rescheduling fee of €868 + VAT will apply.
  • Any non-refundable expenses (e.g. flights, accommodation, equipment hire, etc.) will be charged to the client.
  • Filming and editing fees will be carried over to the new dates.
  • New shoot dates must be agreed in writing with Maverick Social prior to the current shoot dates in order to for the shoot to be considered postponed rather than cancelled

 

  • Less Than 10 Business Days’ Notice

If a postponement occurs within 10 business days of the scheduled shoot:

  • The client will be liable for all pre-production work completed and expenses incurred.
  • If the brief and pre-production materials remain unchanged, these may be carried over to the new shoot.
  • A rescheduling fee of €868 + VAT will apply.
  • Any non-refundable expenses (e.g. flights, accommodation, or equipment hire) will be charged to the client.
  • 50% of filming and editing fees will be due, as contractor deposits will have been forfeited.
  • New shoot dates must be agreed in writing with Maverick Social prior to the current shoot dates in order to for the shoot to be considered postponed rather than cancelled

 

Force Majeure Policy

  • Definition:

A force majeure event refers to any circumstance beyond the reasonable control of Maverick Social or the client that prevents, delays, or materially affects performance of the agreed services. This includes but is not limited to extreme weather conditions, natural disasters, fire, flooding, strikes, labour disputes, illness, epidemics, government restrictions, transport disruptions, or acts of God.

 

  • Liability:

Maverick Social shall not be held liable for any delay, interruption, or failure to perform obligations arising directly or indirectly from such events.  Any costs already incurred (including pre-production, crew bookings, and non-refundable expenses) remain the responsibility of the client.

 

  • Rescheduling:

In the event of a force majeure occurrence, both parties will work in good faith to reschedule the shoot or delivery to a mutually agreed date.  Maverick Social will make every reasonable effort to minimise disruption and additional costs, but new costs arising from the rescheduled production (e.g. travel, accommodation, or crew fees) will be borne by the client.

 

  • Extended Impact:

If a force majeure event extends beyond 30 days and no reasonable reschedule date can be agreed, either party may terminate the agreement without penalty (except for costs already incurred).

 

  • Communication:

Both parties must promptly notify each other in writing as soon as they become aware of any event that may constitute a force majeure, providing details and estimated impact on delivery timelines.

 

Usage Rights & Licensing Policy

  • Ownership:

Maverick Social retains full ownership and copyright of all raw footage, project files, and creative materials produced during the course of any engagement, unless otherwise agreed in writing.  Clients are purchasing a licence to use the final delivered assets, not the underlying source files or intellectual property.

 

  • Licensed Use:

The client is granted a non-exclusive, perpetual, worldwide licence to use the final delivered videos, images, and content for the specific purposes and platforms defined in the approved brief or project proposal.  This includes use across the client’s own organic digital channels, website, internal communications, and presentations, unless otherwise stated.

 

  • Extended Usage:

Any additional use, such as paid advertising campaigns, broadcast media, third-party syndication, or resale, must be approved in writing by Maverick Social.  Extended usage may incur additional licensing fees based on scope, territory, and duration.

 

  • Third-Party Access:

The client may not share, license, or sell the content to any third party (including agencies, partners, or affiliates) without written consent from Maverick Social.  If third-party access is required (e.g. media agencies, brand partners, or PR teams), Maverick Social will issue a separate usage release outlining the approved terms.

 

  • Raw Footage:

All raw footage and project files remain the property of Maverick Social.  If a client wishes to obtain the raw footage for independent use, a licence release fee will apply, calculated at €445 + VAT per shooting day plus any associated retrieval or transfer costs.

 

  • Portfolio Use:

Maverick Social retains the right to use the final delivered work and select behind-the-scenes materials for showreel, marketing, and promotional purposes, unless otherwise restricted in writing by the client.

 

Credit & Publicity Rights Policy

  • Portfolio Use:

Maverick Social retains the right to use final delivered work, behind-the-scenes imagery, and project details for showreels, case studies, award submissions, marketing materials, and internal presentations, unless otherwise restricted in writing by the client.

 

  • Client Credit:

Where reasonable, the client agrees to credit Maverick Social for creative or production services in press releases, award entries, and media coverage related to the project.

 

  • Confidential Projects:

If a project is confidential or subject to an embargo, Maverick Social will delay publication or publicity until written approval is granted by the client.

 

  • Third-Party Representation:

Clients and partner agencies may not present Maverick Social’s work as their own or remove credit references without prior written consent.

 

Confidentiality, Data Protection & Privacy Policy

  • Mutual Confidentiality:

Both Maverick Social and the client agree to treat all confidential information shared during the course of the project, including pricing, creative concepts, scripts, production details, strategies, and internal communications, as strictly confidential.

 

  • Use & Disclosure:

Confidential materials may only be used for the purpose of executing the agreed project and may not be disclosed, copied, or shared with third parties without prior written consent from the disclosing party.  Disclosure is permitted only to essential personnel, contractors, or suppliers directly involved in the project, and only under equivalent confidentiality obligations.

 

  • Duration & Exceptions:

These obligations remain in effect for two (2) years after project completion, or until the information becomes public through lawful means.  Exceptions include disclosures required by law, court order, or government authority, or information already publicly available or independently developed.

 

  • Data Protection & GDPR Compliance:

Maverick Social complies with the General Data Protection Regulation (GDPR) and all applicable Irish and EU data protection laws.  Any personal data collected or processed, including images, audio, video, or identifiable details of individuals, will be handled lawfully, fairly, and securely, and used only for the purposes agreed in the project scope.

  • Client Responsibilities for Consent:

The client is responsible for ensuring that all necessary permissions and model releases are obtained from individuals appearing on camera.  Maverick Social can provide release templates upon request but is not liable for missing or incomplete releases provided by the client.

 

  • Storage & Security:

All project data is stored securely on encrypted servers with access restricted to authorised personnel.  Data is retained in line with Maverick Social’s Archive Policy, unless otherwise required by law.

 

  • Third-Party Sharing:

Personal data will only be shared with trusted production partners such as freelance crew, editors, or service providers where necessary to complete the project, and only under strict confidentiality and data protection terms.

 

  • Data Subject Rights:

Individuals have the right to access, correct, or request deletion of their personal data held by Maverick Social. Such requests must be made in writing to the company.

 

  • Good Faith & Integrity:

Both parties agree to handle all information exchanged throughout the project with integrity, discretion, and respect for privacy, upholding the trust that underpins every Maverick Social collaboration.

 

Archive Policy

Maverick Social stores all raw footage, project files, selects, and final exports for 12 months on our fast storage servers.  There is no archive fee during this 12-month period.  After 12 months, all project files are moved to our long-term (slower) archive.  If you wish to retrieve archived footage after this period, a €445 + VAT retrieval fee applies, plus €115 + VAT per hour for any additional editing or re-exporting required.  We recommend clients download and back up final project exports within the initial 12 months, as Maverick Social cannot guarantee indefinite storage beyond this timeframe.
